USER AGREEMENT This User Agreement ("Agreement") governs the use of the Sell Buy and Bid Electronic components.com online service ("Service") as provided by Sell Buy and Bid Inc.("Service Provider"). PLEASE READ THE RULES CONTAINED IN THIS AGREEMENT CAREFULLY. Your use of any part of the Service will constitute your agreement to comply with these rules. If you do not wish to be bound by this Agreement, you may not use the Service. This Agreement may be amended from time to time. Continued access of the Service will constitute your acceptance of any modifications to the Agreement. The user who agrees to this Agreement will be referred to here as "you". USE OF SERVICE - ELIGIBILITY - Our Service is available solely to parties that can form legally binding contracts under applicable   law. Without limiting the foregoing, our Service is not available to minors (under 18) and persons who are   suspended from the Service. - REGISTRATION - Except as otherwise provided in this Agreement, in order to use the Service, the registered   user must register for membership pursuant to the instructions provided from time to time on the Service website.   The registered user warrants and represents that the information provided in the member registration is true,   complete and correct, and the registered user agrees to update such information as necessary. - SERVICE FEES - The Service is currently offered free of charge. Service Provider reserves the right to   introduce membership fees, subscription plans, or fees for certain services or features in the future. Any   applicable fees, payment terms, and effective date will be communicated to users before such fees take effect.   Users will not be charged unless they elect to use or continue using a paid service or plan in accordance with   the applicable terms. - NO TRANSFER - The right to use the Service is personal to the registered user and the information obtained via   the Service may not be further copied, reproduced, disseminated, made available, published or otherwise   disclosed. You may not authorize others to use the Service, and agree to maintain your password to access the   Service and any information obtained from the Service confidential. You are responsible for any and all activities   that occur under your password or account. You agree to immediately notify Service Provider of any unauthorized   use of your account or any other breach of security known to you. - NO INTERFERENCE WITH SERVICE - You agree not to disrupt damage, overburden or interfere with the Service   in any way, or to impede or interfere with other parties' use and enjoyment of the Service. You further agree not to   alter or tamper with any information or materials on or associated with the Service, or send messages that   contain corrupted files, viruses, spyware, or similar damaging software and programs. - PROPER USE - You agree to use the Service only for lawful purposes and in accordance with this Agreement   and you acknowledge that your failure to do so may subject you to civil and criminal liability. You agree not to   upload, distribute, post, make available to the public or otherwise disseminate any inappropriate, defamatory,   infringing, obscene, profane, indecent, or unlawful content, language or information. Further, you may not place   on the Service any material that is encrypted, constitutes junk mail, unsolicited email, spamware or unauthorized   advertising, or that invades anyone's privacy, defames, harasses, threatens, or encourages conduct that would   constitute a criminal offense and/or that gives rise to civil liability, or that otherwise violates any local, state,   national or international law or regulation. - NO MISREPRESENTATION - You agree not to disseminate any false or misleading information via the Service,   including, without limitation, price, product and service availability, quote, and offer. - INTELLECTUAL PROPERTY1 - You represent that any material and information you provide to the Service or   post on the Service website does not violate the copyright, trademark, trade secret or   any other personal or proprietary rights of any third party. - INTELLECTUAL PROPERTY2 - You represent that regarding any material and information you expose to in the   sight and its content and by using the Service or on the Service website you will not violate the copyright,   trademark, trade secret or any other personal or proprietary rights of the "Service" and/or the "Service Provider"   and /or any third party by any action you will make. MATERIALS PROVIDED TO SERVICE PROVIDER - LICENSE - Each member grants to Service Provider a royalty-free, perpetual, non-exclusive, unrestricted,   worldwide license to use, reproduce, modify, adapt, translate, enhance, make a derivative work, transmit,   distribute, publicly perform, make available to the public, display, or sublicense any such communication   (including your identity and information about you) in any medium (now in existence or hereinafter developed)   and for any purpose, including commercial purposes, and to authorize others to do so. - NO ENDORSEMENT - Service Provider does not endorse, support, sanction, encourage, verify or agree with any   communications, information, comments, or statements posted on the Service website. - NO OBLIGATION TO MONITOR - Service Provider is not responsible, shall have no liability and no obligation to   monitor the communications and other information being posted on the Service website by any and all third   parties. This notwithstanding, Service Provider reserves the right to review materials posted to the Service   website and to remove any materials in its sole discretion. Service Provider reserves the right to   terminate your access to any or all portions of the Service at any time without notice for any reason whatsoever.   Service further reserves the right at all times to disclose any information as necessary to satisfy any   applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any   information or materials, in whole or in part, in its sole discretion. - THIRD PARTY LINKS - The Service may contain links to third party websites ("Linked Sites"). Service Provider   shall have no liability and does not endorse the content or actions from any Linked Site. Your use any third party   service or website is at your sole risk. GENERAL DISCLAIMER OF WARRANTY YOU ACKNOWLEDGE THAT YOU ARE USING THE SERVICE AT YOUR OWN RISK. THE SERVICE IS PROVIDED "AS IS". SERVICE PROVIDER HEREBY EXPRESSLY DISCLAIMS, TO THE EXTENT ALLOWED UNDER APPLICABLE LAW, ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY, CONDITION, GUARANTEE OR REPRESENTATION, WHETHER ORAL, WRITTEN OR ELECTRONIC. WITHOUT LIMITING THE FOREGOING, SERVICE PROVIDER MAKES NO REPRESENTATIONS OR WARRANTIES, AND THE USER ASSUMES THE ENTIRE RISK, WITHOUT LIMITATION, AS TO       -ANY CONTENT ON THE SERVICE WEBSITE;       -THE CONSEQUENCES OF DOWNLOADING ANY ATTACHMENT TRANSMITTED THROUGH THE        SERVICE WEBSITE;       -THE QUALITY, ACCURACY, RELIABILITY OR SUITABILITY FOR ANY PURPOSE WHATSOEVER OF THE        CONTENT, INFORMATION AND THE SERVICE WEBSITE;       -THE STANDING, CREDIT OR OTHERWISE OF ANY PERSON OR ENTITY MENTIONED IN THE SERVICE        WEBSITE OR IN ANY OF ITS CONTENT;       -ANY FAILURE, DELAY, DISRUPTION OR INTERRUPTION TO THE SERVICE WEBSITE, THE        TRANSMISSION OR RECEPTION OF ANY DATA OR INFORMATION, ANY SOFTWARE, EQUIPMENT OR        SYSTEM, AND/OR THE TRANSMISSION OF ANY VIRUSES THROUGH THE SERVICE WEBSITE OR ANY        CONTENT CONTAINED THEREIN. LIMITATION OF LIABILITY SERVICE PROVIDER SHALL NOT BE LIABLE, TO THE EXTENT ALLOWED UNDER APPLICABLE LAW, FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE OR ANY OF THE CONTENT THEREON, WHETHER BASED UPON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU HEREBY AGREE TO RELEASE SERVICE PROVIDER, AND ITS RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICE. TERMINATION OF ACCESS TO THE SERVICE Service Provider has the right to terminate your ability to access the Service, for any or no reason, without notice. Service Provider further reserves the right to terminate your membership at any time for any reason whatsoever. If a user has prepaid for an applicable paid service or subscription plan, any refund, if applicable, will be handled in accordance with the terms of that paid service or subscription plan and applicable law. GENERAL - INDEMNIFICATION - You agree to indemnify, defend, and hold harmless the Service Provider, its affiliates,   directors, officers, employees, agents, representatives and third party service providers, against all losses,   expenses, damages, and costs, including reasonable attorney fees, arising out of or relating to your use of   the Service. - GOVERNING LAW - This Agreement is governed by, interpreted and enforced in accordance with the laws   of the State of New York. - ARBITRATION - Any dispute, controversy or claim arising out of or relating to this Agreement including, without   limitation, the interpretation or the breach thereof, shall be settled by arbitration in the city, state and country of   New York City, New York, USA, in accordance with the Commercial Arbitration Rules of the American Arbitration   Association then obtaining, and judgment upon the award rendered by a panel of three (3) Arbitrators may be   entered in any Court having jurisdiction thereof. Copyright Infringement   Claims Procedures shall be pursuant to Online Copyright Infringement Liability Limitation Act of the Digital   Millennium Copyright Act, 17 U.S.C. sec. 512, as amended. - NO AGENCY - You agree that no joint venture, partnership, employment, or agency relationship exists between   you and Service Provider as a result of this Agreement. - SEVERABILITY - Any provision of this Agreement, which is invalid or unenforceable in any jurisdiction, shall   be ineffective to the extent of such invalidity or unenforceability, without invalidating or rendering unenforceable   the remaining provisions. Any such invalidity or unenforceability in any jurisdiction shall not invalidate or render   unenforceable such provision in any other jurisdiction. - ENTIRE AGREEMENT - This Agreement constitutes the entire agreement between you and Service Provider   with respect to the Service, and it supersedes all prior or contemporaneous representations, understandings,   agreements and communications between you and Service Provider regarding the subject matter hereof. - LIMITATION ON CLAIM ASSERTION - You agree that regardless of any statute, regulation, or law to the   contrary, any claim or cause of action arising out of or related to the use of the Service or the Agreement must   be filed within one (1) year after such claim or cause of action allegedly arose, or be barred. - ILLEGALITY - If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the   parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected   in the provision, and the other provisions of the Agreement shall remain in full force and effect. - WAIVER - The failure of Service Provider to exercise or enforce any right or provision of this Agreement shall   not constitute a waiver of such right or provision.
